Terms of Service

These Terms of Service (“Terms”) apply to your use of quorlyn.co.in and to services provided by Quorlyn (“Quorlyn”, “we”, “us”), a sole proprietorship registered in India. By using the website or engaging us, you agree to these Terms.

1. Our services

We provide AI and automation, software and web development, technical consulting and digital marketing services. The exact scope, deliverables, timeline and fees for each engagement are set out in a written proposal, statement of work or agreement (“Proposal”). If a Proposal conflicts with these Terms, the Proposal applies.

2. Your responsibilities

• Give us accurate information, timely feedback and the access we reasonably need
• Make sure you have the rights to any content, data or materials you share with us
• Make sure your use of the deliverables, including any personal data they process, complies with applicable law

3. Fees and payment

Fees are as stated in the Proposal. Unless agreed otherwise, invoices are payable within 15 days. Applicable taxes are charged in addition. Advertising spend on platforms such as Meta or Google is paid by you directly to the platform, or reimbursed to us, and is separate from our fees.

4. Intellectual property

Once you have paid in full, you own the deliverables created specifically for you. We keep ownership of our pre-existing tools, code libraries, templates and know-how, and grant you a non-exclusive, perpetual licence to use them as part of the deliverables. Third-party software and services remain subject to their own licences and terms.

5. Confidentiality

Each party will keep the other's non-public business information confidential and use it only for the engagement, except where disclosure is required by law.

6. Data protection

Where we process personal data on your behalf, we act as your Data Processor under the Digital Personal Data Protection Act, 2023 and handle it only on your instructions. Our Privacy Policy explains how we handle personal data collected through this website.

7. AI systems and third-party platforms

AI systems can produce incorrect or unexpected outputs. We test what we build and add safeguards, but you are responsible for reviewing how AI outputs are used in your business. Advertising and messaging platforms (such as Meta, Google and WhatsApp) set their own rules, approvals and pricing, which we do not control.

8. No guaranteed results

We work carefully to meet agreed goals, but we do not guarantee specific business results, such as revenue, leads, rankings or return on ad spend.

9. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental or consequential losses, or for loss of profits, revenue or data. Our total liability for any claim relating to an engagement is limited to the fees you paid us for that engagement in the three months before the claim arose.

10. Termination

Either party may end an engagement with written notice as set out in the Proposal. You will pay for work done up to the date of termination. Sections on intellectual property, confidentiality, liability and governing law continue to apply.

11. Website use

Website content is provided for general information. Do not misuse the website, attempt to disrupt it or access it without authorisation. Links to third-party sites are provided for convenience; we are not responsible for their content.

12. Governing law

These Terms are governed by the laws of India. Courts at Chandigarh have exclusive jurisdiction, subject to any dispute resolution process agreed in a Proposal.
